These Terms & Conditions ("Terms") govern your access to and use of the EDICT platform, website, mobile applications, APIs, and related services (collectively, the "Services"), operated by Proser Digital Solutions ("EDICT", "Company", "we", "our", or "us").

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Services.

About EDICT

EDICT is a cloud-based Software-as-a-Service (SaaS) platform that enables organizations to automate workflows, manage documents, coordinate approvals, maintain audit trails, collaborate across teams, manage compliance processes, and streamline business operations.

The Services may include workflow automation, document management, reminders, notifications, AI-assisted features, dashboards, reports, integrations, APIs, mobile applications, and other operational tools.

Eligibility

You may use the Services only if:

  • You are at least 18 years of age.
  • You have legal authority to represent yourself or the organization registering the account.
  • The information you provide is accurate and complete.
  • You comply with applicable laws and these Terms.

If you register on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

Account Registration

You are responsible for:

  • Maintaining accurate account information.
  • Keeping your password confidential.
  • Enabling Multi-Factor Authentication (MFA), where available.
  • Preventing unauthorized access to your account.
  • Promptly notifying us of any suspected security incident.

You are responsible for all activity occurring under your account unless caused solely by our negligence.

Organization Accounts

Organizations using EDICT are responsible for:

  • Creating user accounts
  • Managing employee access
  • Assigning user roles and permissions
  • Configuring approval workflows
  • Managing document visibility
  • Reviewing automated workflow rules

Organization administrators are responsible for all users within their workspace.

Subscription Plans

  • Free Trial
  • Monthly Subscription
  • Annual Subscription
  • Enterprise Plans
  • Custom Commercial Agreements

Available features vary depending on the subscribed plan.

Billing & Payments

Payments are processed through authorized third-party payment providers.

Subscription fees:

  • are payable in advance,
  • exclude applicable taxes unless stated otherwise,
  • renew automatically unless cancelled before renewal (where applicable).

Failure to make payment may result in suspension or termination of the Services.

Free Trial

  • Access is limited to the trial period.
  • Certain features may be restricted.
  • The Company may terminate the trial at any time.

After the trial expires, continued use requires an active subscription.

Customer Data Ownership

You retain ownership of all information uploaded to EDICT, including:

• Documents
• Files
• Workflows
• Forms
• Templates
• Images
• Reports
• Communications
• Organizational Records

EDICT does not claim ownership of customer data.

You grant us a limited license to process your data solely for providing, maintaining, securing, and improving the Services.

Acceptable Use

You agree not to:

• Upload malicious software
• Attempt unauthorized access
• Interfere with system security
• Violate applicable laws
• Infringe intellectual property rights
• Distribute harmful or illegal content
• Reverse engineer the Services
• Misuse APIs
• Perform denial-of-service attacks
• Bypass security controls

Violation of these Terms may result in immediate suspension or termination of your account.

Workflow Automation

EDICT executes workflows based on customer-defined configurations.

Customers remain responsible for:

  • Workflow logic
  • Approvals
  • Notification rules
  • Escalation settings
  • Automation triggers
  • Business decisions resulting from workflows

EDICT does not assume responsibility for decisions made through customer-configured workflows.

AI-Assisted Features

Artificial intelligence features and customer responsibilities.

Certain Services may include AI-assisted capabilities designed to improve productivity and workflow efficiency.

Unless explicitly stated otherwise:

  • Customer data is not used to train general AI models.
  • AI-generated outputs should always be reviewed.
  • AI assists operational efficiency.
  • AI does not replace professional or human judgment.

Customers remain solely responsible for reviewing all AI-generated summaries, recommendations, workflows and other outputs before relying upon them.

Communications

Notifications sent through the platform.

The Services may send communications through various channels, including:

• Email notifications
• In-app notifications
• Push notifications
• SMS (where enabled)
• WhatsApp notifications
• Workflow reminders

Customers are responsible for ensuring recipient contact information remains accurate and that communications comply with all applicable laws.

Security

Security measures implemented by EDICT.

EDICT implements commercially reasonable administrative, technical and organizational safeguards including authentication, role-based access controls, encrypted communications and audit logging.

While we continually improve our security practices, no internet-based system can guarantee absolute security.

Intellectual Property

Ownership of the platform and related assets.

All intellectual property relating to EDICT—including software, branding, trademarks, source code, interfaces, documentation, graphics, proprietary workflows and technology—remains the exclusive property of Proser Digital Solutions or its licensors.

No ownership rights are transferred through your use of the Services.

Third-Party Services

Integrations with external providers.

The Services may integrate with third-party providers including payment gateways, authentication services, messaging providers, cloud infrastructure, storage providers, calendars and email services.

We are not responsible for the availability, performance, accuracy or reliability of third-party services.

Availability

Service uptime and maintenance.

We strive to provide reliable and uninterrupted Services. However, we do not guarantee continuous availability or error-free operation.

Maintenance, software updates, internet disruptions, force majeure events or third-party outages may temporarily affect the availability of the Services.

Data Retention

How customer data is retained.

Customer data is retained throughout the duration of an active subscription.

Following account deletion or termination, data will be retained and deleted in accordance with applicable law, contractual obligations and our internal data retention policies.

Customers are encouraged to export their information before closing their account.

Suspension & Termination

Circumstances under which access may be suspended.

We may suspend or terminate access if:

• These Terms are violated
• Payment obligations are not met
• Illegal activity is detected
• System security is threatened
• Misuse of the Services occurs

Customers may discontinue use of the Services in accordance with their subscription agreement.

Limitation of Liability

Limits on our legal responsibility.

To the fullest extent permitted by law, Proser Digital Solutions shall not be liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, business interruption, goodwill or data arising from use of the Services.

Our total aggregate liability shall not exceed the fees paid by the customer for the Services during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

Indemnification

Your responsibility for misuse of the Services.

You agree to defend, indemnify and hold harmless Proser Digital Solutions, its directors, employees, affiliates and partners against claims arising from:

• Misuse of the Services
• Violation of these Terms
• Infringement of third-party rights
• Unlawful content uploaded by you
• Violations of applicable law

Confidentiality

Protection of confidential information.

Each party agrees to protect confidential information received from the other party and to use such information solely for the purpose of providing or using the Services.

Compliance

Customer compliance responsibilities.

EDICT is designed to assist organizations with operational workflows and compliance management.

Customers remain responsible for complying with all applicable laws, regulations, employment obligations, tax requirements, industry standards and professional responsibilities.

EDICT does not provide legal, accounting, tax or regulatory advice.

Changes to the Services

Platform updates and improvements.

We may modify, enhance, suspend or discontinue any feature or functionality of the Services in order to improve performance, security, user experience or comply with legal and operational requirements.

Amendments to these Terms

Updates to this agreement.

We may revise these Terms from time to time.

Material updates will be published on our website together with a revised "Last Updated" date.

Continued use of the Services after such changes constitutes your acceptance of the revised Terms.

Governing Law

Applicable jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts where Proser Digital Solutions has its registered office.
